Terms of Service

Welcome to Oryxa. These Terms of Service ("Terms") form a binding agreement between you and Oryxa ("Oryxa," "we," "us," or "the Service"), the operator of the media-tracking application and website available at oryxa.app. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By registering for an account or otherwise using Oryxa, you confirm that you have read, understood, and agree to these Terms, together with our Privacy Policy, Cookie Policy, and DMCA / Copyright Policy, each of which is incorporated into these Terms by reference. We may update these Terms from time to time as described in Section 12 below; continued use of the Service after an update constitutes acceptance of the revised Terms.

2. Description of the Service

Oryxa is a media tracker and companion application that helps users keep track of their progress across TV series, anime, movies, and podcasts. The Service includes, without limitation:

• Episode and watch-progress tracking, localized "next episode" countdowns, and viewing calendars;
• Social features such as comments on episodes (with spoiler controls), friends, activity feeds, and public profiles;
• AI-assisted features, including library import from other services, an AI expert chat about your tracked titles, natural- language ("vibe") search, and generated recaps and recommendations;
• Free and paid subscription tiers that unlock additional usage or functionality, as described in Section 6.

Oryxa does not host, stream, or distribute any copyrighted video or audio content. Catalog information (titles, artwork, episode lists, and similar metadata) is sourced from third-party providers, including TMDB, AniList/Jikan, and Podcast Index, and Oryxa is not responsible for the accuracy of that data. This product uses the TMDB API but is not endorsed or certified by TMDB.

3. Accounts and Eligibility

You must be at least 13 years old to create an Oryxa account. By registering, you represent that you meet this age requirement and that all information you provide is accurate and kept up to date.

• One account per person. You may not create or maintain more than one account, and you may not create an account on behalf of, or share an account with, another person, except where we explicitly support shared/family functionality in the future.
• Credential security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@oryxa.app if you suspect unauthorized access to your account.
• Accurate information. You agree not to impersonate any person or entity or misrepresent your affiliation with any person or entity.

4. Acceptable Use

You agree to use Oryxa only for its intended purpose and in compliance with all applicable laws. Without limiting the generality of the foregoing, you must not:

• Scrape, crawl, harvest, or otherwise systematically extract data from the Service using automated means, except through any interfaces we officially publish for that purpose;
• Abuse, overload, reverse-engineer, or attempt to circumvent rate limits, quotas, or security controls on our API or AI features (including the AI import tool, expert chat, or vibe search);
• Use the AI features to generate, request, or propagate unlawful, infringing, hateful, or harassing content;
• Post, upload, or transmit reviews, comments, or other content that is illegal, defamatory, infringing, obscene, or that violates the rights of any third party;
• Interfere with or disrupt the integrity or performance of the Service, including by introducing malware or attempting unauthorized access to any account, system, or network; or
• Use the Service in any way that violates applicable local, national, or international law.

We reserve the right to investigate suspected violations and to take appropriate action, including content removal, rate-limiting, suspension, or termination as described in Section 8.

5. User Content and License

"User Content" means reviews, comments, ratings, lists, and any other material you submit to Oryxa. As between you and Oryxa, you retain all ownership rights in your User Content.

By submitting User Content, you grant Oryxa a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt (e.g., to fit spoiler controls or formatting), and distribute that content solely for the purposes of operating, providing, promoting, and improving the Service (including showing your reviews to other users and, where applicable, using aggregated or de-identified content to improve our recommendation and AI systems). This license ends when you delete the applicable content or your account, except to the extent your content has been shared with, or reproduced by, other users, or where retention is required for legal, security, or backup purposes.

You represent that you own or have the necessary rights to any User Content you submit, and that it does not infringe or violate the rights of any third party. See our DMCA / Copyright Policy for how we handle infringement claims.

6. Subscriptions and Billing

Oryxa is offered on a freemium basis: certain features are available at no cost, and additional features or usage limits are available through paid subscription plans ("Subscription").

• Billing. Paid Subscriptions are billed by a third-party payment processor. By subscribing, you authorize that processor to charge your selected payment method for the plan you choose and any applicable taxes. Exact billing mechanics (billing cycle, accepted payment methods, invoicing) are governed by the payment processor in effect at the time and will be presented to you before you complete a purchase.
• Auto-renewal. Unless otherwise stated at the time of purchase, Subscriptions automatically renew at the end of each billing period at the then-current price, until canceled.
• Cancellation.You may cancel your Subscription at any time from your account settings or through the payment processor’s customer portal. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then.
• Refunds. Except where required by applicable law, fees are non-refundable. Where a refund is legally required or offered at our discretion, it will be processed via the same payment processor used for the original charge.
• Changes to plans and pricing. We may change Subscription features or prices from time to time. We will provide reasonable notice of price changes before they take effect for existing subscribers.

7. AI Features

Oryxa’s AI-assisted features (including library import, expert chat, vibe search, and generated recaps) rely on machine-generated content and third-party AI providers. AI-generated content may be incomplete, inaccurate, or contain errors, including inaccurate plot summaries or recommendations. You should not rely on AI-generated output as a sole source of factual information. See Section 9 (Disclaimers) for more detail.

8. Termination

By you. You may stop using the Service and delete your account at any time from Settings, or by contacting support@oryxa.app.

By Oryxa. We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, the Acceptable Use provisions above, or applicable law, or if we are required to do so by law. Where practical, we will provide notice of the reason for suspension or termination.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 5, 9, 10, and 11) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) catalog data sourced from TMDB, AniList/Jikan, Podcast Index, or any other third-party provider is accurate, complete, or current; or (c) content generated by AI features is accurate, complete, or suitable for any particular purpose. You use AI-generated content and third-party catalog data at your own discretion and risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORYXA AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia and applicable local law, without regard to conflict-of-law principles, except to the extent mandatory consumer-protection laws of your country of residence apply and cannot be displaced by agreement. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts, unless applicable law requires otherwise.

12. Changes to These Terms

We may modify these Terms from time to time to reflect changes to the Service, legal requirements, or our practices. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an in-app notice or email). Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
